Terms of Service

Welcome to the website of Catalyst Web Systems ("Catalyst," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, including any pages, forms, scheduling tools, content, and related online services that link to these Terms (collectively, the "Site").

By accessing or using the Site, submitting a booking request, or otherwise interacting with the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility

You may use the Site only if you are at least 18 years old and legally able to enter into a binding contract on behalf of yourself or the business you represent.

If you use the Site for a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. What the Site Is For

Catalyst provides information about its website design, web infrastructure, and business automation services for small businesses in the United States.

The Site is for informational and lead-generation purposes only. A booking request, inquiry, or free 15-minute call does not create a client, contractor, fiduciary, agency, partnership, employment, or advisory relationship between you and Catalyst. No services are sold through the Site itself unless and until the parties execute a separate written agreement or statement of work and any required deposit is paid.

3. No Professional, Legal, Tax, Financial, or Compliance Advice

Content on the Site is provided for general informational purposes only. It is not legal, tax, accounting, financial, compliance, cybersecurity, or other regulated professional advice, and should not be relied on as such.

Any discussion of website performance, automation, lead handling, analytics, or business operations is illustrative only and not a guarantee of legal compliance, business results, conversion rates, revenue, lead volume, uptime, or suitability for your business.

4. Booking Requests and Communications

If you submit a booking request or contact us through the Site, you agree to provide accurate, current, and complete information. You may not impersonate any person or entity, submit false information, or use disposable, deceptive, or unauthorized contact details.

By submitting your information, you authorize Catalyst to contact you using the contact information you provide for the purpose of responding to your request, scheduling or confirming a call, discussing our services, and following up regarding your inquiry, subject to applicable law and your rights to opt out of marketing communications.

Catalyst may decline, cancel, reschedule, or refuse any booking request or inquiry at its discretion.

5. Acceptable Use

You agree not to:

  • use the Site for any unlawful, fraudulent, harassing, abusive, defamatory, or misleading purpose;
  • upload, transmit, or submit any malicious code, spyware, ransomware, viruses, worms, or other harmful material;
  • attempt to gain unauthorized access to the Site, servers, accounts, data, or systems;
  • scrape, spider, crawl, copy, harvest, index, mirror, or data-mine the Site or Site content by automated means without our prior written consent;
  • interfere with or disrupt the integrity, performance, or security of the Site;
  • use the Site to send spam, unsolicited commercial communications, or junk data;
  • submit confidential, proprietary, regulated, sensitive, or third-party information unless you have the legal right to do so and it is reasonably necessary for your inquiry;
  • use the Site to compete with Catalyst or develop a competing service using Site content, structure, copy, or materials.

We may suspend, block, or report any use we believe violates these Terms, harms us or others, or creates legal or security risk.

6. User Submissions

Any information, messages, files, comments, ideas, suggestions, feedback, or other materials you submit through the Site ("Submissions") must be lawful and non-infringing.

You represent and warrant that:

  • you own or control the rights necessary to provide the Submission;
  • the Submission does not infringe or violate any third-party rights;
  • the Submission is not false, misleading, or deceptive;
  • the Submission does not contain malicious code or unlawful material.

You grant Catalyst a non-exclusive, worldwide, royalty-free license to use, copy, transmit, store, and process Submissions as necessary to operate the Site, respond to your inquiry, evaluate a potential engagement, protect our rights, and otherwise as described in our Privacy Policy.

We are not obligated to treat unsolicited ideas, suggestions, or proposals as confidential, and we recommend that you do not submit sensitive business secrets through the public Site.

7. Intellectual Property

The Site and all content on it, including without limitation text, copy, branding, graphics, logos, layouts, design elements, icons, images, downloads, code, compilations, and other materials, are owned by Catalyst or its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal business evaluation of our services. You may not reproduce, distribute, publish, display, create derivative works from, reverse engineer, republish, or exploit Site content except as expressly permitted in writing by Catalyst.

"Catalyst Web Systems" and related names, logos, and marks are our property. You may not use them without prior written permission.

8. Third-Party Services and Links

The Site may contain links to third-party services, tools, platforms, schedulers, analytics providers, or other websites. We do not own or control those third parties and are not responsible for their content, availability, terms, privacy practices, security, or conduct.

Your use of any third-party site or service is at your own risk and subject to that third party's own terms and policies.

9. Testimonials, Examples, and Results Disclaimer

Any case studies, testimonials, examples, projections, illustrations, before-and-after examples, pricing examples, service descriptions, or statements about outcomes on the Site are provided for general informational purposes only. Actual results vary widely by business, market, offer, responsiveness, operations, ad spend, follow-up speed, seasonality, and many other factors beyond our control.

Nothing on the Site is a promise or guarantee of results.

10. Site Availability; No Warranty

The Site is provided on an "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS" basis.

To the maximum extent permitted by law, Catalyst disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, availability, quiet enjoyment, and any warranties arising from course of dealing, usage, or trade practice.

We do not warrant that the Site will be uninterrupted, error-free, secure, free of harmful code, or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, Catalyst and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, business opportunity, goodwill, data, use, or anticipated savings, arising out of or related to the Site or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of Catalyst for any and all claims arising out of or relating to the Site or these Terms shall not exceed the greater of:

  • one hundred U.S. dollars (US $100), or
  • the amount, if any, you paid directly to Catalyst solely for access to the Site during the three (3) months preceding the event giving rise to the claim.

Because the Site does not currently charge end users for access, this allocation of risk is a material part of the bargain.

12. Indemnification

You agree to defend, indemnify, and hold harmless Catalyst and its owners, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the Site;
  • your breach of these Terms;
  • your Submissions;
  • your violation of law;
  • your infringement or violation of any third-party rights;
  • your fraud, negligence, willful misconduct, or misuse of the Site.

13. Geographic Scope

The Site is controlled and operated from the United States and is intended for users located in the United States. We do not represent that the Site is appropriate, lawful, or available in every jurisdiction.

14. Governing Law

These Terms and any dispute arising out of or relating to the Site or these Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

15. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

Informal Resolution First

Before filing any claim, you agree to first send written notice of the dispute to legal@catalystwebsystems.com with enough detail for us to evaluate it. The parties agree to attempt in good faith to resolve the dispute informally within thirty (30) days.

Binding Arbitration

If a dispute is not resolved informally, then, except for matters eligible for small claims court or claims for injunctive relief relating to intellectual property, the dispute shall be resolved by final and binding arbitration on an individual basis.

The arbitration shall be administered by AAA under its applicable consumer or commercial arbitration rules, as appropriate. The seat or venue of arbitration shall be Miami Dade, Florida, unless the parties agree otherwise or applicable rules require a different format.

No Class Actions

To the fullest extent permitted by law, you and Catalyst agree that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general action.

Jury Trial Waiver

To the fullest extent permitted by law, each party waives any right to a jury trial for any dispute permitted to proceed in court.

If any part of this Section is found unenforceable as to a particular claim or remedy, then that claim or remedy shall proceed in a court of competent jurisdiction, and the remaining portions of this Section shall remain in effect to the fullest extent permitted by law.

16. Injunctive Relief

Notwithstanding the dispute provisions above, Catalyst may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, systems, or business operations.

17. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you violated these Terms, pose a security or legal risk, or misuse the Site.

18. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Your continued use of the Site after the effective date of updated Terms constitutes acceptance of the updated Terms.

19. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the complete agreement between you and Catalyst regarding the Site and supersede prior or contemporaneous understandings relating to the Site.
